Two things:
1) No RAM?
2) No Case?
You can sometimes get a CPU and seperate heatsink cheaper than a "box" set.

Yeah, it should work, but there are no guarantees. But you should probably upgrade to XP anyways since its more reliable and 98 probably won't be supported by MS anymore within the next year (they already dropped 95; and don't quote me on this. This is just my speculation. I'm probably wrong).

bah you need a better FSB, the bigger the better. its one of the most overlooked computer stats. Of course, it all depends on your budget, if it was up to me id recommend a 4 2.0 ghz intel xeon system with a ram expander and 32 gigs of ram, costing, oh say $15k from tigerdirect.com (which has really good prices, btw)

dude u can get a P4 2.4 ghz with 800 mhz FSB on an ASUS board , with 512 megs of 400mhz DDR ram for like 375 bucks !
im DIE HARD AMD ,, but you cant beat the lower end P4's price now ,,, to get the same thing but AMD would be $775 and the FSB is onlt 500 mhz i think
